Definitions
- Agreement: All documents governing cooperation between the Client and the Company, including proposals, these Terms, and any related materials.
- Client Materials: Any data, content, or resources supplied by the Client for use within the Project.
- Deliverables: The outputs or results defined in the Agreement to be provided by the Company.
- Company Resources: Internal tools, frameworks, systems, code, and methodologies used or created by the Company.
- Final Deliverables: The completed version of Deliverables delivered to the Client.
- Project: The agreed scope of work between both parties.
- Services: All work performed by the Company as outlined in the Agreement.
- Third-Party Components: External tools, software, or assets used within the Project.
Development Services
The Company will perform Services in line with the scope, milestones, and specifications defined in the Agreement.
Proposal and Scope Validity
Any proposal provided by the Company is intended for acceptance within thirty (30) days, unless a different validity period is specified. If no confirmation is received within that time, we may update the proposal to reflect changes in scope, availability, or pricing.
Fees and Project Costs
- Service Fees: The Client agrees to pay the fees outlined in the Agreement.
- Third-Party Costs: Expenses related to external services (such as hosting, licenses, or integrations) are not included unless explicitly stated.
- Project Expenses: Any approved costs incurred during execution will be billed at actual value.
Payment Terms
Invoices must be settled within five (5) calendar days unless otherwise agreed. Payments are typically structured according to milestones defined in the Agreement.
Scope Modifications
- Change Requests: Any requested changes must be submitted in writing. We will evaluate the request and provide updated cost and timeline details.
- Minor Adjustments: Changes that do not significantly impact scope may be handled under standard rates.
- Major Adjustments: If changes substantially alter the Project, a revised agreement may be required before continuing work.
Project Timing
- Client Responsibilities: Delays in providing materials, approvals, or feedback may impact delivery timelines.
- Company Delays: If delays arise on our side, we will inform the Client promptly.
- External Factors: Events outside reasonable control may affect timelines without constituting a breach.
Review and Acceptance
Deliverables will be reviewed before submission. The Client is expected to provide feedback within a reasonable timeframe so work can proceed efficiently.
Client Obligations
The Client agrees to:
- Provide accurate and complete information
- Ensure materials are lawful and usable
- Respond promptly to communications
- Accept responsibility for corrections related to the provided content
Attribution and Portfolio
Unless otherwise agreed, the Company may reference completed work in portfolios, case studies, or marketing materials.
Confidentiality
Information shared during the Project that is not publicly available should be handled with care and used solely for the purpose of fulfilling the Agreement. Disclosure is permitted only with consent or when required by law.
Use of Third Parties
The Company may involve external contractors or partners in the delivery of Services. Responsibility for the final Deliverables remains with the Company.
Relationship Between Parties
Nothing in this Agreement creates an employment, partnership, or agency relationship. The Company operates as an independent service provider.
Limitation of Liability
Services are provided under standard commercial conditions without guarantees beyond those explicitly agreed.
To the extent permitted by law, any financial responsibility of the Company is limited to the amount paid by the Client for the relevant Services. The Company is not responsible for indirect or consequential losses.
Rights to Deliverables
Upon full payment, the Client receives the right to use the Deliverables for their intended purpose.
Ownership of internal Company Resources remains with the Company.
Support
Ongoing support or maintenance may be provided separately and may incur additional charges unless included in the Agreement.
The Company is not responsible for issues arising after third-party modifications.
Updates to Terms
These Terms may be updated periodically. The version in effect at the time of agreement will apply to the Project.
